Unless otherwise defined, terms used in this announcement bear the same meanings as defined in the Companys Circular to Shareholders dated 8 June 2006 relating to the acquisition of the entire issued and paid-up share capital of Japan Tomoike (the Circular).
The Board of Directors (the Board) of CDW Holding Limited (the Company) refers to the announcement made on 7 July 2006 where the Board announced the completion of the transfer of 51.37% of the issued and paid-up share capital of Japan Tomoike (the First Tranche Sale Shares) to Tomoike Industrial (H.K.) Limited, a wholly-owned subsidiary of the Company.
The Board is pleased to announce that pursuant to the sale and purchase agreement entered into between Tomoike Industrial (H.K.) Limited and the Vendors on 12 April 2006, Tomoike Industrial (H.K.) Limited has appointed Mr Akihiro Kiyota, Mr Akira Sakai and Mr Kunihiko Shinjo as directors to the board of Japan Tomoike with effect from 31 August 2006. These persons also hold positions within the Group. Mr Akihiro Kiyota is an Executive Director of the Company, Mr Akira Sakai is the Head of Human Resource of the Group and Mr Kunihiko Shinjo is the Group Co-ordinator (Finance).
In addition to the above, Mrs Toyoko Yoshimi has resigned from her position as a director of Japan Tomoike with effect from 31 August 2006. Mrs Toyoko Yoshimi is the wife of Mr Kunikazu Yoshimi, the Chief Executive Officer of the Group.
