(i) Martin Currie Inc (MC Inc) is the investment manager of The China Fund, Inc., which has a deemed interest in the Registered Holders shares in the listed company.
Pursuant to Section 7(6)(d) of the Companies Act (Cap 50), MC Inc has a deemed interest in the Registered Holders shareholding in the listed company.
(ii) The Substantial Shareholder and MC Inc are related companies by virtue of Section 6 of the Companies Act (Cap 50) as they are both wholly owned subsidiaries of Martin Currie Ltd.
(iii) By virtue of Section 7(4A)(b) of the Companies Act (Cap 50), the Substantial Shareholder has a deemed interest in the Registered Holders shareholding in the listed company.
